How much is a marketing agency worth?
On the closest sold data, an owner-run marketing agency sells for roughly 2 to 3.4 times seller's discretionary earnings (SDE), which count one owner's pay as earnings: half the graphic and web design businesses sold through BizBuySell from 2021 to 2025 went for 2.09x to 3.40x. Larger agencies are priced on EBITDA, and FE International's 2026 bands for digital marketing agencies climb from 2.5x to 4x under $500,000 of EBITDA to 7x to 12x at $5 million and up.
Neither figure is the cash at closing. Of 21 recent deals reported by TobinLeff, a sell-side advisor to marketing agencies, 15 included an earnout and 12 rollover equity.

What multiple does a marketing agency sell for?
Size decides which earnings figure the multiple applies to. FE International puts the switch from SDE to EBITDA at about $500,000 of EBITDA or $2 million of revenue, and BizBuySell at $1 million to $2 million of earnings. Above that, the published multiples climb with each step up in size.

BizBuySell's graphic and web design category is mostly owner-operated firms that sell to other businesses, often doing SEO, marketing materials and logos: a proxy for small digital and creative agencies, not a marketing-agency dataset. Across all industries, BizBuySell's 2020 to 2024 sales climb with size too, from a median 2.10x SDE at $500,000 to $1 million of revenue to 2.99x at $2 million to $5 million.
Marketplaces that sell small, mostly online agencies report similar or lower figures. Empire Flippers says agencies on its marketplace usually sell for 1.6 to 3.3 times annual net profit, and an email and SMS marketing agency in Australia and New Zealand that Flippa brokered closed at 1.6 times profit.
On EBITDA, TobinLeff told Axial that its agencies averaging about $500,000 of adjusted EBITDA sold for an average 3.33x, and those averaging $2.4 million for 6.46x. Its 21 recent deals averaged 6.50x trailing EBITDA at the letter of intent (range 2.65x to 12.64x), but those are larger agencies and the prices include earnouts and rollover. By our reading of the FE and Palmer bands, 6x is mid-range only from about $2.5 million of EBITDA.
Middle-market figures sit higher still. Lincoln International's private-market index put median multiples for marketing and information services companies at roughly 10x to 12x EBITDA from mid-2022 through late 2025, and Capstone Partners puts Marketing Services at an average 9.9x for 2022 through early 2026. Both describe companies far larger than an owner-run agency. Quiet Light, an online-business broker, says private equity groups and independent sponsors target agencies with $1 million or more of annual profit.
SDE or EBITDA: which one applies to your agency?
SDE is your profit plus one owner's salary and perks, so it fits the founder-run agency. EBITDA assumes someone is paid a market salary to do your job: running accounts, selling new business and managing the team. BizBuySell says SDE is generally the larger number but gets the lower multiple.
So never compare the two multiples directly. With example figures only: an agency with $300,000 of SDE whose owner would cost $120,000 a year to replace has $180,000 of EBITDA. At 2.5x SDE it comes to $750,000; at 4x EBITDA, $720,000. Compare offers in dollars.
Billings, net revenue or AGI: which revenue do buyers use?
If you pass media, production or freelancer costs through to clients, your top line overstates the business. Parakeeto, an agency profitability consultancy, says leaving pass-through costs in revenue inflates an agency's sense of its size and distorts its efficiency and profit measures, especially with heavy media buying, print or outsourced production. Agency consultants use adjusted gross income (AGI) instead: billings minus pass-through costs, freelancers included.
Holding companies report this way. Omnicom records revenue net of third-party costs in most of its businesses, including advertising, media buying, PR and branding, and Stagwell mainly records only the net amount it keeps on media and production. Smaller agencies do not always. Converge Direct, a performance media-buying agency, booked advertising revenue gross: $293.5 million of 2021 revenue, but $37.6 million of gross profit. Big Village, doing similar work, booked revenue net of media buys and production. Restate your revenue as AGI before you compare it with any multiple.
Can you value a marketing agency on revenue?
Only as a cross-check. FE International says most digital agencies trade at 0.4x to 1.0x trailing revenue, retainer-heavy ones at the top, and treats revenue multiples as a sanity check. Axial, drawing on Palmer and TobinLeff, says agencies are valued on trailing-12-month adjusted EBITDA, with about 1x revenue as a ceiling. Graphic and web design businesses sold on BizBuySell from 2021 to 2025 went for 0.57x to 1.48x revenue (middle half), and BizBuySell uses revenue multiples alongside an earnings analysis, not on their own.
A 2020 rule of thumb from the Agency Management Institute (AMI) put most agencies at one to two times average AGI, moved by specialization, owner involvement, long-term client contracts and the depth of the leadership team. Treat it as a ballpark from before the 2021 peak, not a method.
Do PR firms, media agencies and creative shops sell for different multiples?
No source we found splits sold-deal data by type of marketing agency. The type tables that circulate online give no deal count, and they disagree: two match almost row for row, a third ranks the types in nearly the opposite order. What exists is advisor guidance and a few disclosed deals, mostly larger than an owner-run agency.
Disclosed marketing agency deals by type
| Type | Deal | Multiple |
|---|---|---|
| Digital | OpenMoves (PopReach), 2023$7.5M EV | 5.6xEBITDA |
| SEO | Builtvisible (Brave Bison), 2025£1.5M upfront, up to £3.5M | 5.0x*EBITDA |
| Creative, UK | Livity (Mission Group), 2022£0.1M | n/aloss-making |
| PR | Unnamed US firm (Gould+Partners)$14M, 40% at closing | 4.2x*EBITDA |
| Media buying | Converge Direct (Troika), 2022$125M | 5.4x*EBITDA |
| Influencer | Socialyte (Dolphin), 2022$13.5M preliminary | 7.7x*op. income |
| Social, UK | Social Chain (Brave Bison), 2023£7.7M upfront | n/aloss-making |
| Hybrid, UK | Engine UK (Next 15), 2022£77.5M EV | 6.7xEBITDA |
- Digital and performance marketing. FE International says performance, search and PPC, and B2B-vertical agencies price higher within each size band. Builtvisible's 5.0x is on the £1.5 million paid on completion, not the full price of up to £3.5 million. Selling a digital marketing agency.
- Creative and branding. FE puts project-heavy creative studios toward the low end of each band unless they have productized, durable service lines. SI Global, a UK advisor, said in July 2026 that buyer demand is returning for best-in-class creative agencies, especially those that add social, influencer, content and creator work. Livity, loss-making with net liabilities, is the downside case.
- PR firms. Rick Gould of Gould+Partners, a PR-firm M&A advisor, wrote in 2021 that PR firms had been averaging around 5x recasted EBITDA, and in 2024 that they are not valued on net revenue. In the sale in the table, a $15 million firm with a 22% recasted EBITDA margin, the seller argued for 5x and the buyer for 3x. Selling a PR firm.
- Media buying and advertising. Converge Direct is the only media-buying deal we found with disclosed profit, and its buyer later filed for Chapter 11, so treat it as a data point, not a benchmark. In agency-of-record relationships, an ANA and 4As study found media-only agencies keep clients for an average 3.7 years, against 7.3 years for integrated full-service agencies. Selling a media or advertising agency.
- Content and social media. Socialyte's 7.7x is on its 2021 operating income; it ran an operating loss in the first nine months of 2022. Social Chain's seller could earn up to £9.5 million more, tied to EBITDA targets.
- Hybrid and full-service. David Tobin of TobinLeff told Axial that service-only digital agencies trade close to well-run PR, integrated, advertising and creative agencies, typically 4.5x to 7x EBITDA for most midsize to smaller digital agencies.
What makes one marketing agency worth more than another?
BizBuySell says service businesses with consistent results, low owner involvement and growth potential sell at or above the upper-quartile multiple, and lists customers loyal to the owner rather than the brand as a liability.
Margin
In a TobinLeff study of more than 60 buyers of digital and marketing communications agencies, reported by Axial, EBITDA margin ranked first, with most buyers wanting margins above 20%, and client retention second. TobinLeff says agencies with EBITDA margins of 8% to 15% of AGI that are not growing at double digits often get only 3.5x to 5.5x EBITDA. Promethean Research found the average digital agency earned a 13% after-tax net margin in 2025, a different measure from EBITDA on AGI.
Client concentration
Palmer advises no single client above 10% of revenue and a top three below 25%. FE International says one client at 30% to 40% or more of revenue can cost 1x to 2x off its size bands, plus heavier earnouts. Karl Sakas, an agency consultant, put the problem line at 20% in 2015, and an FE guide at 25%. In Productive's 2025 survey of 235 agencies, a third of them not marketing agencies, 12.8% got more than a quarter of revenue from one client. See client concentration, retainers and contracts.
Retainers and contract terms
BizBuySell lists retainers as recurring revenue and says strong recurring income typically earns a higher valuation, without a number. FE International asserts a 25% to 40% lift over project-based agencies, and Lightning Path Partners, an agency acquirer, suggests 6x to 7x EBITDA at 70% retainer revenue against 3x to 4x at 30%, neither with data. A retainer is only as durable as its notice period: Omnicom says substantially all of its client contracts can be cancelled on short notice, typically 90 days. FE says contracts of 12 months or more with auto-renewal strengthen value.
How much depends on you
FE International says agencies where the founder is the main rainmaker or client contact face a 15% to 30% discount. In Productive's survey, 71.9% of agencies were still founder-dependent. That is also why earnouts are common: Lewis Silkin, a UK law firm, says so much agency value sits with founders and their client relationships that buyers want the sellers to stay for a set period.
Growth
Rick Gould says flat or falling revenue and mid-teens profit let buyers justify lower valuations for PR firms, and that buyers use a revenue decline to cut the multiple or walk away even when it can be explained. Gould+Partners' survey put the average North American PR firm's 2025 operating profit at 15.3%, and 8.5% for firms under $3 million of net revenue.
Specialization and AI
Capstone Partners reported in 2023 that specialized digital marketing providers earned premium valuations over generalists. Ciesco, a London-headquartered advisor, said in April 2026 that premium agencies with embedded AI and proprietary workflows command 8x to 12x EBITDA, with no size attached.
Partner badges
If a Google, Meta or HubSpot badge is part of what you are selling, check what it rests on. Google Partner status needs $10,000 of ad spend across managed accounts over 90 days and at least half your account strategists certified, and those certifications belong to individuals and expire after a year. Meta's Certified Company badge rests on employees' own certifications, and HubSpot's partner tiers partly on client subscriptions your team actively services. Google allows 60 days' grace before a company loses the badge, and its help page does not say what happens when an agency changes hands. Keep the certified people and the client spend in place through the sale.
Records
TobinLeff says a Quality of Earnings review of your tax returns, bank statements and ledger, not your headline EBITDA, decides what a buyer pays, and that undocumented add-backs are discounted or rejected. FE International's red flags: cash-basis books that will not reconcile, revenue booked before the work is delivered, client contracts that end on a change of control and freelancer work with no signed IP assignment. Have your attorney check those contract and IP terms before you sell. More in how to sell a marketing agency.
How do asking prices compare with sale prices?
Asking multiples run ahead of sale multiples. On October 14, 2026, marketing and advertising businesses listed on BizBuySell were asking a median 3.07 times SDE (middle half 2.46x to 3.70x) and 0.91 times revenue, in a category that also includes promotional products, print and signage businesses. In graphic and web design, where BizBuySell does publish sales, the median listing asked 3.98 times SDE against 2.69 times for businesses that sold. So when another owner tells you what their agency was listed at, ask what it closed at.
How much of the price do you get at closing?
Often less than in other small-business sales. Across all industries, the International Business Brokers Association's Q2 2026 survey found sellers received 83% to 92% of deal value at closing, counting the buyer's bank debt. Agency sources describe far more deferral. Gould+Partners says PR buyers typically pay 20% to 35% at closing and the rest over three to five years as a performance-based earnout. Henry Corona, an agency M&A adviser, wrote in 2019 that cash at closing generally falls between 1.5x and 3x EBITDA on a total value often of 4x to 5x.
SRS Acquiom found that across the earnout deals it tracked, in all industries except life sciences, sellers received about one in five potential earnout dollars. Stagwell's earnouts are subject to continued employment, while Omnicom says some of its are not. Gesmer Updegrove, a US law firm, says the IRS may treat an earnout paid only if you stay employed as compensation, not purchase price; ask your CPA how yours would be taxed. Rollover equity is paid later too: at Omnicom, minority owners of some subsidiaries can, in certain circumstances, require it to buy their remaining stake at a value set by a multiple of earnings.
The headline is also usually enterprise value. TobinLeff says most agency deals are priced cash-free and debt-free, with a working-capital “peg” that moves the price dollar for dollar at closing, and that some buyers treat client retainers received in advance and media advances as debt.
An SBA 7(a) loan changes the rules: under SBA SOP 50 10 8.1, effective October 1, 2026, the loan cannot include a seller earnout, and you generally may stay on only as a consultant, for up to 24 months. This is general information; confirm the tax and legal effect of any structure with your attorney or CPA. See earnouts and cash at close in agency sales.
What do these multiples mean in dollars?
These apply the published ranges above to example figures. They are arithmetic, not a valuation of any agency.
A marketing agency with $1,000,000 in sales that makes $300,000 a year
The $300,000 is SDE if it includes your pay, and EBITDA if it is what is left after paying someone a market salary to do your job. The last row assumes $250,000 of media or freelancer cost passed through to clients (an example figure), leaving $750,000 of AGI.

| If $300,000 is EBITDA | ||
| FE, under $500k2.5x to 4x | $750k to $1.2M | |
| Palmer, under $1M2.5x to 3.9x | $750k to $1.17M | |
| Revenue cross-check | ||
| FE, on $1M of revenue0.4x to 1.0x | $400k to $1M | |
| FE, on $750k of AGI0.4x to 1.0x | $300k to $750k | |
Is a marketing agency worth 3 times profit?
It depends which profit you mean. On SDE, 3 times is inside the published ranges for an owner-run agency and a little above the 2.69x sold median for graphic and web design. On EBITDA, it sits at the low end of the bands under $1 million of EBITDA, close to the 3.33x TobinLeff reported for agencies averaging about $500,000, and below the FE and Palmer bands from $1 million up.
What is a 5x EBITDA valuation?
The buyer prices the agency at five times its annual EBITDA, usually trailing-12-month adjusted EBITDA. At $1,000,000 of EBITDA that is $5,000,000: inside FE's $1 million to $2.5 million band (4x to 6.5x) and at the top of Palmer's band for $1 million and up (3.5x to 5x). At $400,000 of EBITDA, 5x would sit above both firms' bands for that size.
Then look at how it is paid. If 30% of that $5,000,000 were an earnout (an example figure), $3,500,000 would be due at closing, before the working-capital adjustment. On Gould+Partners' 20% to 35% for PR firms, the cash at closing would be $1,000,000 to $1,750,000.
How the estimator works
The valuation estimator uses the ranges in the multiples table: a sold-deal SDE range for owner-run agencies, and for EBITDA the advisor band that matches your EBITDA. It places a window in the middle of that range, moves it up or down with your answers, and multiplies your earnings by the window's low and high multiples. The window is 40% of the range wide and can never move outside it, so no answer can produce a multiple the sources do not support.
The direction of each adjustment follows the sources on this page. A founder who holds the client relationships, a client above 20% to 25% of revenue and mostly project revenue move the window down; retainers and a team that serves clients without you move it up. How far each answer moves it is this site's judgment: advisors quote percentages, such as FE's 15% to 30% founder discount, but none publishes the deal data behind them. The result is a rough estimate, not an appraisal. It cannot see your client contracts, books, team or the terms a buyer will offer.
